Public Offer Agreement

PUBLIC OFFER AGREEMENT
 

1. GENERAL PROVISIONS 

 

1.1. This Public Offer Agreement ("Agreement") is made by Magwill Entertainment LLC, a company registered in the United States, located at Constellation Boulevard, Los Angeles, CA, 90067 ("Company"), which acts as the principal entity managing the business operations of Live Screenings Network (LSN), and Magwill LLC, a company registered in Georgia, ID 402218168, Legal Address: Georgia, Tbilisi, Didube District, Davit Agmashenebeli Avenue, N 179a, Apartment N1, 0112, which serves as the operational and financial entity ("Operator").

 

1.2. This Agreement is entered into between the Company and the Operator on one side, and any individual or legal entity who accepts this Agreement by making a payment, submitting a project via forms on the website, or ordering services via the website or other platforms mentioned on our website ("Client") on the other side.

 

1.3. The Company provides strategic oversight, brand management, and high-level administration of LSN services, while the Operator is responsible for receiving payments, delivering services, and fulfilling all contractual obligations under this Agreement.

1.5. The Company reserves the right to introduce additional operational or financial entities in the future as LSN expands its business.

 

2. SUBJECT OF THE AGREEMENT 

 

2.1. The Company, through the Operator, provides various services in film distribution, festival strategy development, film promotion, and consulting, as described on the website: https://www.livescreeningsfilmfestival.com

 

2.2. The Client selects the required service(s) and submits payment or submits a project via the website or affiliated platforms, after which the Operator commences the provision of the services. 

 

2.3. The fact of service provision is confirmed by:

  • Completion of the agreed-upon services as described in the service details;

  • Delivery of reports, confirmations, or other relevant documentation;

  • Availability of access to the services rendered (e.g., festival submission, promotional campaign, consulting session);

  • Absence of any written claim from the Client within 7 days from the completion of the service.

3. SERVICES PROVIDED 

 

3.1. Services offered include, but are not limited to:

  • Development of a film distribution strategy.

  • Festival submission strategy and execution.

  • Film promotion (SMM, targeted advertising, press releases, trailers, etc.).

  • Film distribution with a Revenue Share Model (35%).

  • Script and film analysis (producer-level analysis).

  • Online and offline screenings at LSN film festivals.

  • Strategic consulting support and coaching for filmmakers.

  • Educational programs and consulting. 

 

3.2. If a film is accepted for non-exclusive distribution, the Operator retains 35% of the revenue, with marketing and agreed expenses deducted before profit-sharing. 

 

3.3. The Client agrees that services do not guarantee specific results (e.g., festival acceptance, sales, or success in distribution).

 

4. ACCEPTANCE AND PAYMENT 

 

4.1. The Client agrees to the terms of this Agreement by making a payment for the selected service, submitting a project via forms on the website, or ordering services via the website or other platforms mentioned on our website. 

 

4.2. The service fees are published on the Company’s website and may be updated at any time. 

 

4.3. Payments are processed by the Operator, which is responsible for invoicing, transaction processing, and financial management. Payments can be made via bank transfer, Stripe, PayPal, or other available payment methods.

 

4.4. The Client understands and agrees that all payments are non-refundable.

 

5. RIGHTS AND OBLIGATIONS OF THE PARTIES 

 

5.1. The Operator undertakes to:

  • Provide the services as described.

  • Maintain confidentiality of the Client’s materials.

  • Provide reports and updates upon request. 

 

5.2. The Client undertakes to:

  • Provide accurate information and required materials in a timely manner.

  • Accept that the Operator and Company do not guarantee specific results.

  • Comply with all applicable laws regarding film rights and content distribution.

 

6. INTELLECTUAL PROPERTY & CONFIDENTIALITY 

 

6.1. The Client retains all rights to their film, screenplay, and promotional materials. 

 

6.2. The Company and Operator have the right to use promotional materials provided by the Client for marketing and promotional purposes. 

 

6.3. Both parties agree to maintain confidentiality regarding business strategies and unpublished materials.

 

7. LIABILITY & LIMITATION OF LIABILITY 

 

7.1. The Company and Operator are not liable for:

  • Third-party decisions (e.g., festival rejections, distributor decisions, platform policies).

  • Any indirect, incidental, or consequential damages suffered by the Client.

  • Delays due to force majeure (e.g., war, natural disasters, sanctions). 

 

7.2. The maximum liability of the Company and Operator under this Agreement shall not exceed the amount paid by the Client for the services.

 

8. DISPUTE RESOLUTION 

 

8.1. Any disputes arising under this Agreement shall be settled through negotiations. 

 

8.2. If the parties cannot reach an agreement, disputes shall be resolved in accordance with the laws of the United States, with exclusive jurisdiction in the state of California.

 

9. FINAL PROVISIONS 

 

9.1. The Company and Operator reserve the right to update or modify this Agreement at any time. 

 

9.2. The Client agrees to receive informational materials from the Company or Operator via email.

 

By making payment, submitting a project via forms on the website, or ordering services via the website or other platforms mentioned on our website, the Client confirms their acceptance of all terms in this Agreement.
